Calumet completes acquisition of NuStar refinery, terminal near San Antonio

The acquired assets include a refinery in San Antonio, Texas with crude oil throughput capacity of approximately 14,500 bpd. The refinery produces ultra-low sulfur diesel, jet fuel, specialty solvents, reformates, naphtha and vacuum gas oil. The aggregate deal price was $115 million.

Calumet Specialty Products on Wednesday completed its previously-announced acquisition of the San Antonio refinery and associated crude oil pipeline, terminal and other operating and logistics assets and inventories of NuStar Energy.
 
The purchase price was $100 million plus an amount for estimated closing date inventory, adding up to an aggregate consideration of approximately $115 million.

The San Antonio assets include a refinery in San Antonio, Texas, with crude oil throughput capacity of approximately 14,500 bpd.

The refinery produces ultra-low sulfur diesel, jet fuel, specialty solvents, reformates, naphtha and vacuum gas oil.

The NuStar acquisition was funded primarily with borrowings under Calumet's senior secured revolving credit facility and cash on hand.

The deal was first announced in mid-December.
